AELEX has acted as Solicitors to the Offer in the approximately $1.5 billion Initial Public Offering (IPO) of Dangote Petroleum Refinery & Petrochemicals FZE, a landmark transaction expected to have significant implications for Nigeria’s capital market and the wider African economy.
The offering is the largest single IPO undertaken in Africa and the first public offering by a Free Zone Entity (FZE) in Nigeria, marking a significant development in the country’s capital market and creating a new pathway for large-scale industrial and infrastructure businesses to raise capital from the investing public.
The successful transaction also underscores the growing capacity of Nigeria’s financial and legal services sectors to structure and execute complex transactions of international significance.
Vetiva Advisory Services Limited served as Lead Issuing House, while Stanbic IBTC Capital Limited, Chapel Hill Denham Advisory Limited, Afrinvest Capital Limited and CardinalStone Partners Limited, among others, acted as Joint Issuing Houses.
Deloitte & Touche served as Auditor, while KPMG Professional Services acted as Reporting Accountant.
Landmark Transaction
The Dangote Refinery IPO has been described by market observers as a watershed moment for Nigeria’s capital market, with the potential to broaden investment opportunities, deepen market liquidity and increase participation in large-scale industrial assets.
The transaction also demonstrates the ability of the Nigerian capital market to support major capital-raising exercises capable of attracting significant domestic and international investor interest.
For AELEX, its role as Solicitors to the Offer further strengthens the firm’s track record in advising on major capital markets and securities transactions in Nigeria.
The firm has built a longstanding practice in capital markets, corporate finance, project finance and other complex transactions involving major businesses and institutions across key sectors of the Nigerian economy.
Longstanding Dangote Relationship
AELEX’s involvement in the refinery IPO also builds on its longstanding professional relationship with the Dangote Industries Group.
The firm previously acted as Solicitors to the Issuer in the N60 billion Initial Public Offering of Dangote Sugar Refinery Plc, which was among the notable equity offerings in Nigeria at the time.
Beyond capital markets, AELEX has also advised on strategic projects within the Dangote Group, including the financing of the Obajana Cement Project.
The firm advised on the $798 million syndicated limited-recourse financing involving the International Finance Corporation (IFC), export credit agencies and development finance institutions.
AELEX has also provided legal advice on aspects of the establishment and operation of the Dangote Refinery within Nigeria’s Free Zone framework.
Implications for Nigeria
The Dangote Refinery is one of Africa’s largest industrial projects and has been positioned as a major catalyst for industrialisation, energy security, value-chain development and foreign exchange conservation.
The successful IPO is expected to further broaden public participation in the refinery’s growth while providing another example of how Nigeria’s capital market can support major infrastructure and industrial investments.
The transaction could also encourage other large-scale businesses, particularly those operating in infrastructure, energy and manufacturing, to explore public capital as a source of long-term financing.
For Nigeria’s legal and financial services industry, the transaction highlights the importance of specialised local expertise in structuring and executing sophisticated capital market transactions.
AELEX’s role further reinforces its position as a leading Nigerian law firm advising on high-value capital markets transactions, project financings, strategic investments and other complex commercial matters.
With the successful completion of the offering, market stakeholders are expected to watch closely for its longer-term impact on investor participation, market depth and the emergence of similar large-scale listings in Nigeria and across Africa.
The transaction is therefore not only significant for Dangote Refinery and its investors, but also represents an important milestone in the continuing development and sophistication of Nigeria’s capital market.
